These Terms of Service (“Terms”) govern your access to and use of the Checkout Review application, website
(https://checkoutreview.com/), related services, and any associated software or content (collectively, the “Service”).
The Service is operated by Checkout Review (“we”, “us”, or “our”), with registered address at Knutsford Business Park,
1 Cranford Drive, Knutsford, Cheshire, WA16 8ZR, United Kingdom.

By installing, accessing, or using the Service (including via the Shopify App Store), you agree to be bound by these
Terms. If you do not agree, do not use the Service.

1. Description of the Service

Checkout Review is a Shopify application that enables merchants to display verified customer reviews and social proof
at checkout, run A/B tests, view analytics (including conversion lift and influenced revenue), and integrate with thirdparty
review platforms (e.g., Judge.me, Okendo, Yotpo, Trustpilot, Reviews.io, and others). Features and availability
may vary by Shopify plan and checkout configuration.

2. Eligibility and Account

  • You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to bind
    the business or Shopify store on whose behalf you use the Service.
  • You must maintain a valid Shopify store and comply with Shopify’s terms.
  • You are responsible for all activity under your account and for keeping login credentials secure.

3. Subscription, Pricing & Billing

  • The Service may be offered on free and paid plans (as displayed in the Shopify App Store or your dashboard).
    Pricing, features, and limits are subject to change with reasonable notice.
  • Paid plans are billed through Shopify’s billing system. By subscribing, you authorise recurring charges.
  • Fees are non-refundable except where required by law or explicitly stated. You may cancel at any time; access
    continues until the end of the current billing period.
  • We reserve the right to change pricing or discontinue plans with notice.

4.Acceptable Use

You agree not to:

  • Use the Service for any illegal, fraudulent, or harmful purpose.
  • Display reviews that are fake, misleading, or violate applicable laws (including consumer protection and
    advertising standards).
  • Attempt to reverse-engineer, scrape, overload, or interfere with the Service or Shopify’s systems.
  • Use the Service in a way that harms other users, Shopify, or third-party review platforms.
  • Violate any third-party terms (Shopify, review providers, etc.).
    We may suspend or terminate access for violations.

5. Your Content & Data

  • You retain ownership of reviews, store data, and other content you provide or sync (“Your Content”).
  • You grant us a limited licence to host, process, display, and analyse Your Content solely to provide and improve
    the Service.
  • You are solely responsible for the accuracy, legality, and rights to Your Content (including obtaining necessary
    consents for customer reviews and personal data).
  • We process data in accordance with our Privacy Policy (available at
    https://checkoutreview.onrender.com/privacy or successor URL) and applicable data protection laws (including
    UK GDPR).

6. Third-Party Services & Integrations

The Service integrates with Shopify and third-party review platforms. We are not responsible for the availability,
accuracy, or terms of those services. Your use of integrations is subject to the third parties’ own terms and policies.

7.Intellectual Property

  • We (and our licensors) own all rights in the Service, including software, design, trademarks, analytics
    methodologies, and content we provide.
  • You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.
  • Feedback you provide may be used by us without obligation or compensation.

8. Availability, Support & Changes

We aim for high availability but do not guarantee uninterrupted or error-free service. The Service depends on
Shopify’s platform and third-party providers.

  • Support is provided via email (hello@checkoutreview.com) during business hours (typically Monday-Friday) with
    reasonable response times.
  • We may update, modify, or discontinue features at any time. Material changes will be notified via the app, email,
    or website.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, OR NON-INFRINGEMENT.

We do not warrant that the Service will increase your conversion rates, revenue, or achieve any specific results.
Analytics and A/B testing results are estimates only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of
    (a) the fees you paid us in the 12 months preceding the claim, or (b) £100.
  • We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages,
    including loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility.

  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any
    other liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Checkout Review, its officers, employees, and agents from any claims,
damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content,
violation of these Terms, or infringement of third-party rights.

12. Termination

  • You may stop using the Service and uninstall the app at any time.
  • We may suspend or terminate your access immediately for breach of these Terms, non-payment, or if required
    by law or Shopify.
  • Upon termination, your right to use the Service ends. We may delete Your Content after a reasonable period
    (subject to legal retention requirements). Provisions that by nature should survive (including ownership, liability
    limitations, and indemnification) will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales.
Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that we may seek
injunctive relief in any jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will be revised, and material changes will be
notified via the Service or email. Continued use after changes constitutes acceptance.

15. General

  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • These Terms constitute the entire agreement between you and us regarding the Service and supersede prior
    agreements.
  • You may not assign these Terms without our consent. We may assign them freely.
  • No waiver of any breach is a waiver of any subsequent breach.
  • Nothing in these Terms creates a partnership, joint venture, or employment relationship.
